BUYER AND SELLER AGREEMENT

This Buyer and Seller Agreement (the "Agreement") sets forth the terms and conditions governing the use of the UNDERME marketplace (the "Platform") by buyers and sellers (collectively, the "Users"). By accessing and using the Platform, Users agree to abide by this Agreement.

1. DEFINITIONS

1.1. Platform – UNDERME, a C2C online marketplace where individuals can buy and sell used lingerie and similar items. 1.2. Seller – An individual who lists and sells items on the Platform. 1.3. Buyer – An individual who purchases items from a Seller on the Platform. 1.4. Transaction – Any sale or purchase made through the Platform. 1.5. UNDERME – The operator of the Platform, facilitating transactions between Users but not acting as a buyer or seller.

2. ROLE OF UNDERME

2.1. UNDERME acts solely as an intermediary providing a platform for Users to buy and sell items. 2.2. UNDERME does not bear responsibility for the quality, authenticity, safety, or legality of the items listed. 2.3. UNDERME does not guarantee successful transactions or delivery of goods.

3. SELLER RESPONSIBILITIES

3.1. Sellers must ensure that all listings are accurate, including descriptions, pricing, and images. 3.2. Sellers must not list prohibited or unlawful items as per UNDERME’s content guidelines. 3.3. Sellers are responsible for packaging and dispatching items securely and in a timely manner. 3.4. Sellers must adhere to all applicable laws and regulations regarding the sale of used goods. 3.5. Sellers must communicate in a professional and courteous manner with Buyers and UNDERME support. 3.6. If any item appears suspicious or represents something intended for individuals under 18, it shall be removed by our team.

4. BUYER RESPONSIBILITIES

4.1. Buyers are responsible for reviewing product descriptions carefully prior to making a purchase. 4.2. Buyers must complete payments via the Platform’s designated payment system. 4.3. Buyers must refrain from engaging in fraudulent activities, chargebacks, or any

5. PAYMENT TERMS

5.1. All transactions must be conducted via UNDERME’s payment system. 5.2. UNDERME may deduct applicable fees from Seller payouts in accordance with the pricing policy. 5.3. Payments to Sellers may be withheld until confirmation of delivery is obtained. 5.4. UNDERME does not hold responsibility for refund disputes but may provide mediation where necessary.

6. SHIPPING & RETURNS

6.1. Sellers are responsible for fulfilling and dispatching orders. 6.2. Sellers must provide tracking details where applicable. 6.3. Returns, refunds, and exchanges are subject to the Seller’s individual policies unless otherwise mandated by law. 6.4. UNDERME does not handle returns or guarantee refunds but encourages equitable resolutions between Users.

7. DISPUTE RESOLUTION

7.1. Buyers and Sellers are encouraged to resolve disputes amongst themselves in a fair manner. 7.2. Should an agreement not be reached, UNDERME may provide mediation but holds no obligation to enforce a resolution. 7.3. Fraudulent activities, chargebacks, or disputes that violate the Platform’s policies may lead to account suspension.

8. PROHIBITED CONDUCT

8.1. Users must not engage in misleading listings, misrepresentation, or counterfeit sales. 8.2. Spamming, harassment, or inappropriate behaviour towards other Users or UNDERME support is strictly prohibited. 8.3. Any attempts to conduct transactions outside the Platform to circumvent fees shall result in account suspension.

9. LIABILITY & INDEMNIFICATION

9.1. UNDERME accepts no liability for any damages, losses, or disputes arising from transactions between Buyers and Sellers. 9.2. Users agree to indemnify UNDERME against any claims, damages, or legal proceedings resulting from their use of the Platform.

10. ACCOUNT TERMINATION

10.1. UNDERME reserves the right to suspend or terminate accounts found in violation of this Agreement. 10.2. Users may close their accounts at any time; however, all ongoing transactions must be completed beforehand.

11. GOVERNING LAW

11.1. This Agreement shall be governed by the laws of the United Kingdom.

12. MODIFICATIONS TO AGREEMENT

12.1. UNDERME reserves the right to update this Agreement at any time, with Users being notified of significant changes. 12.2. Continued use of the Platform shall be deemed as acceptance of any updates to this Agreement.
