UNDERME SELLER AGREEMENT

This Seller Agreement ("Agreement") is a legally binding contract between you ("Seller") and UNDERME ("Company," "we," "our," or "us"), governing your use of the UNDERME marketplace platform ("Platform") to sell products. By registering as a Seller and listing products on UNDERME, you agree to comply with this Agreement.
1. ELIGIBILITY & ACCOUNT REGISTRATION
1.1. You must be at least 18 years old to sell on UNDERME. 1.2. You agree to provide accurate and complete information when registering as a Seller. 1.3. UNDERME reserves the right to suspend or terminate accounts that provide false, misleading, or incomplete information.
2. LISTING & SELLING PRODUCTS
2.1. Sellers may list items in accordance with the categories and guidelines set by UNDERME. 2.2. Sellers must provide clear, accurate descriptions and images of their products. 2.3. Sellers confirm that they have the legal right to sell listed products and that such products comply with all applicable laws. 2.4. Listings that violate UNDERME policies, including but not limited to counterfeit, illegal, or prohibited items, will be removed, and the Seller’s account may be suspended or terminated.
3. PRICING, PAYMENTS & COMMISSIONS
3.1. Sellers determine their own pricing for products listed on UNDERME. 3.2. UNDERME may charge a commission on each sale, which will be deducted from the Seller’s payout. 3.3. Payments shall be processed through the Platform’s designated payment provider. Payouts will be disbursed to the Seller’s registered payment method within [X] days following a successful sale. 3.4. UNDERME reserves the right to withhold payments in cases of suspected fraudulent activity or disputes.
4. SHIPPING & RETURNS
4.1. Sellers are responsible for dispatching their products to buyers within the agreed timeframe. 4.2. Items must be suitably packaged to ensure their safety during transit. 4.3. Sellers must provide tracking information where applicable. 4.4. Return policies must be explicitly stated in the product listing. If no return policy is specified, buyers may assume that returns are not accepted. 4.5. In the event of disputes regarding returns or shipping, UNDERME reserves the right to mediate and make a final determination.
5. SELLER CONDUCT & COMPLIANCE
5.1. Sellers must act in good faith and provide a professional level of service to buyers. 5.2. Sellers must not engage in fraudulent or misleading activities that undermine the integrity of the marketplace. 5.3. Sellers are required to comply with all applicable laws regarding taxation and the sale of goods. 5.4. Sellers must not attempt to conduct transactions outside of the Platform for products listed on UNDERME.
6. ACCOUNT TERMINATION
6.1. UNDERME reserves the right to terminate or suspend Seller accounts for violations of this Agreement. 6.2. Sellers may request to close their account by contacting UNDERME Support; however, all outstanding obligations must be fulfilled prior to closure.
7. LIABILITY & INDEMNITY
7.1. UNDERME assumes no responsibility for the quality, safety, or legality of items sold by Sellers. 7.2. Sellers agree to indemnify and hold UNDERME harmless from any claims, damages, or legal actions arising from their use of the Platform. 7.3. UNDERME provides the Platform on an "as-is" basis and does not guarantee uninterrupted service.
8. CHANGES TO THIS AGREEMENT
8.1. UNDERME reserves the right to amend this Agreement at any time. Sellers shall be notified of any significant changes. 8.2. Continued use of the Platform following any amendments constitutes acceptance of the revised terms.
9. GOVERNING LAW
9.1. This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. 9.2. Any disputes shall be resolved in the courts of the United Kingdom.
